Terms of Service

These Terms of Service ("Terms") govern access to and use of the TabH2O service, including any related APIs, dashboards, and documentation (the "Service"), provided by H2O.ai, Inc. ("H2O," "we," "our," or "us").

By accessing or using the Service, you agree to these Terms.

1. Service Overview

TabH2O is an API-based machine learning inference service that allows users to submit structured data and receive predictive outputs. The Service is currently offered on a free-tier basis, with potential paid tiers in the future.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract. The Service is not intended for use by minors.

3. Accounts and Authentication

• Users authenticate via third-party identity providers (e.g., Auth0).
• You are responsible for maintaining the confidentiality of your API keys and credentials.
• You are responsible for all activity under your account.

4. API Access and License

Subject to these Terms, H2O grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Service and APIs solely for your internal business purposes.

Restrictions

You shall not:

• Reverse engineer, decompile, or attempt to extract models or underlying technology;
• Use the Service to build, train, or improve competing products or services;
• Resell, sublicense, or provide standalone access to the Service to third parties;
• Circumvent rate limits or security protections.

5. Customer Data

"Customer Data" means any data submitted by you to the Service.

• Customer retains all rights to Customer Data.
• H2O processes Customer Data solely to provide the Service.

No Training / No Competitive Use

H2O will not use Customer Data to train, retrain, or improve its models, or to develop competing products.

Transient Processing

Customer Data is processed in memory and is not stored or retained after processing, except for minimal metadata required for service operation.

You are solely responsible for the content and legality of Customer Data. You represent and warrant that you have all necessary rights and permissions to submit Customer Data to the Service and that such data does not violate applicable laws or third-party rights. You should not submit sensitive personal data or other regulated data unless you have ensured compliance with applicable legal requirements and implemented appropriate safeguards.

6. AI Features and Outputs

The Service includes machine learning and AI functionality.

• Outputs are probabilistic and may be inaccurate or incomplete.
• Outputs do not constitute legal, financial, medical, or professional advice.

Customer Responsibility

You are solely responsible for reviewing and validating all outputs before use. H2O does not verify, endorse, or guarantee the accuracy or suitability of any outputs.

Customer is solely responsible for:

1. the accuracy, quality, and legality of Personal Data;
2. the means by which it was collected; and
3. the instructions provided to H2O.ai.

7. Usage Limits

The Service may be subject to usage limits, including but not limited to request rates, data size limits, throughput, and other technical or operational constraints ("Usage Limits").

H2O may monitor usage and enforce Usage Limits at its sole discretion, including by throttling, rate limiting, suspending requests, or otherwise restricting access to the Service.

Usage Limits may vary by user tier, system demand, or other operational factors and may be dynamically adjusted.

H2O reserves the right to modify, adjust, or impose Usage Limits at any time, with or without notice, including to address system performance, capacity constraints, security concerns, or changes in product offerings.

H2O may modify, update, or discontinue any aspect of the Service, including APIs, endpoints, and features, at any time. H2O may introduce new versions or discontinue existing versions without notice.

8. Acceptable Use

You agree not to use the Service for:

• Illegal activities;
• Harmful or abusive content;
• Security attacks (e.g., malware, scraping, exploitation);
• Intellectual property infringement.

H2O may suspend or terminate access for violations.

9. Third-Party Services

The Service relies on third-party providers (e.g., Auth0) for certain functionality such as authentication. H2O is not responsible for the acts or omissions of such third-party providers, and your use of those services is subject to their applicable terms and policies.

10. Privacy

Use of the Service is subject to our Privacy Policy . You may request deletion of your account and associated personal data in accordance with our Privacy Policy.

11. Suspension and Termination

H2O may suspend or terminate your access at any time, including for:

• Security risks;
• Abuse;
• Violation of these Terms.

You may stop using the Service at any time. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.

12. Disclaimers

The Service is provided "as is" without warranties of any kind.

H2O does not warrant that:

• The Service will be error-free or uninterrupted;
• Outputs will be accurate or reliable;
• The Service will meet your requirements.

The Service is provided on a free or evaluation basis and may be modified, suspended, or discontinued at any time without notice. H2O does not guarantee availability, support, maintenance, or continued access to any feature or functionality.

13. Limitation of Liability

To the maximum extent permitted by law:

• H2O shall not be liable for indirect, incidental, or consequential damages, including loss of data, profits, or business interruption;
• Total liability shall not exceed $100 or amounts paid (if any) in the prior 12 months.

14. Indemnification

You agree to indemnify, defend, and hold harmless H2O from any claims, damages, liabilities, and expenses arising from your use of the Service, Customer Data, or violation of these Terms.

15. Modifications

H2O may modify these Terms at any time. Continued use constitutes acceptance.

16. Export Compliance

You may not use the Service in violation of applicable export control or economic sanctions laws and regulations, including those of the United States. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive sanctions, and that you are not listed on any applicable restricted party list.

17. Governing Law

These Terms are governed by the laws of the State of California.
